GENERAL TERMS OF USE OF THE SILAC WEBSITE AND APPLICATION

1. Owner of the website and services

This website, e-commerce platform and mobile application (hereinafter jointly referred to as the "Platform") are managed by:

Access to and use of the Platform imply acceptance of these General Terms of Use.

2. Scope of application

These Terms govern access to and use of the SILAC Platform, available via website and mobile application, and apply to all users who access or use it.

The Platform is primarily intended for professional operators and companies, without excluding the registration of non-professional users subject to approval by SILAC srl.

Access to prices and the possibility to submit orders are reserved exclusively for registered and authorized users.

3. Registration and access

To access the full functionality of the Platform, account registration is required.

The user agrees to:

• provide true, accurate and complete information;
• keep access credentials confidential;
• promptly update personal and company data in case of changes.

SILAC srl reserves the right to approve, refuse or revoke any registration at any time, without obligation to provide justification, where it deems that access requirements are not met or in case of improper use of the Platform.

The user is responsible for all activities carried out through their account.

4. Nature of information and services

Information, catalogues, technical data and images available on the Platform are provided for informational and professional purposes.

SILAC srl undertakes to keep information updated and accurate but does not guarantee the absence of material errors, inaccuracies or omissions.

Product images are for illustrative purposes only and are not binding.

5. Prices and visibility

Product prices are visible exclusively to registered and authorized users.

Prices may change at any time without prior notice and do not constitute a public offer pursuant to Article 1336 of the Italian Civil Code.

Any evident errors in prices or product descriptions shall not be binding on SILAC srl and may be corrected even after receipt of a request or order.

6. Cart and quotation requests

Non-registered users may use the cart solely to submit quotation requests.

The submission of a quotation request does not constitute an order nor a contractual commitment and is for informational and commercial purposes only.

SILAC srl reserves the right to respond or not respond to received requests.

7. Orders from registered users

Registered and authorized users may submit orders through the Platform.

Any order submitted by the user constitutes a purchase proposal and shall not be binding on SILAC srl until accepted.

The sales contract shall be deemed concluded only after:

• express confirmation by SILAC srl, or
• fulfillment of the order through shipment of the goods or issuance of an order confirmation.

SILAC srl reserves the right to accept, refuse or modify any order received, even after submission by the user.

8. Payments

Payments are not processed through the Platform.

Payment methods are agreed directly between SILAC srl and the customer in accordance with established commercial terms.

9. Shipping and international sales

SILAC srl operates internationally and may ship to various countries.

Any restrictions, transport costs, customs duties, taxes or other charges are borne by the customer, unless otherwise agreed in writing.

10. Permitted use of the Platform

The user agrees to use the Platform exclusively for lawful purposes and in compliance with these Terms.

It is prohibited to:

• use the Platform for fraudulent or unlawful activities;
• attempt unauthorized access to systems;
• copy, reproduce or distribute content without authorization;
• interfere with the technical functioning of the website or app.

SILAC srl reserves the right to suspend or deactivate accounts in case of violation.

11. Intellectual property

All Platform content, including texts, images, trademarks, logos, documents and technical materials, is the property of SILAC srl or of their respective owners.

Any unauthorized reproduction, distribution or use is prohibited.

12. Limitation of liability

The Platform is provided "as is".

SILAC srl does not guarantee uninterrupted or error-free operation and shall not be liable for any direct or indirect damages resulting from the use or inability to use the Platform, except in cases of wilful misconduct or gross negligence.

SILAC srl shall not be liable for:

• improper use of the Platform by the user;
• errors in data entered by the user;
• technical issues beyond its control;
• content of external websites linked to the Platform.

13. Service suspension

SILAC srl may suspend or interrupt access to the Platform for technical, security or maintenance reasons without prior notice.

14. Personal data protection

The processing of personal data is governed by the Privacy Policy available on the Platform.

15. Changes to the terms

SILAC srl reserves the right to modify these Terms at any time.

Any changes shall become effective upon publication on the Platform.

16. Governing law and jurisdiction

These Terms are governed by Italian law.

Any dispute shall fall under the exclusive jurisdiction of the Court of Livorno (LI) - Italy, unless otherwise required by mandatory law.
